These Terms of Use govern your access to and use of valorum.bio and any other website, application, or digital service operated by Valorum Biologics, LLC. Please read them carefully before using our Site.

Valorum Biologics, LLC ("Valorum," "we," "us," or "our") provides the website located at valorum.bio and any related subdomains, microsites, or digital services that link to these Terms (collectively, the "Site"). These Terms of Use (the "Terms") form a binding agreement between you ("you" or "User") and Valorum.

01 Acceptance of these Terms

These Terms apply each time you access the Site. We may modify them from time to time as described in Section 19. Your continued use of the Site after we post revised Terms constitutes your acceptance of those changes. If at any time you do not agree to the then-current Terms, you must stop using the Site.

Valorum Biologics, LLC is a New York limited liability company specializing in the regulatory approval, launch, and commercialization of biosimilar medicines in the United States, with a focus on ophthalmology and oncology. Our principal place of business is 555 Madison Avenue, Suite 11D, New York, NY 10022.

Content on the Site is not intended as, and should not be construed as, medical advice, a diagnosis, or a recommendation for treatment. The Site is not a substitute for professional medical judgment. 04 Intended audience & eligibility

The Site is directed primarily to residents of the United States who are at least eighteen (18) years of age. It is not intended for, and should not be relied upon by, individuals located in jurisdictions where the content may be unlawful, restricted, or subject to different regulatory requirements.

Information regarding any pharmaceutical product on the Site relates to products approved by, or under review with, the U.S. Food and Drug Administration ("FDA"). Product information presented on the Site may not be appropriate, lawful, or applicable in countries outside the United States. Valorum makes no representation that material on the Site is appropriate or available for use in other jurisdictions.

The Site is not intended for use by children. We do not knowingly collect personal information from anyone under the age of thirteen (13). See our Privacy Statement for details.

05 Biosimilar medicines & information

Valorum’s business is focused exclusively on the regulatory approval, launch, and commercialization of biosimilar medicines in the United States. The following provisions apply to all biosimilar-related information appearing on the Site.

What a biosimilar is — and is not

A biosimilar is a biological product that is highly similar to, and has no clinically meaningful differences from, an existing FDA-approved reference product. A biosimilar is licensed by the FDA under the Biologics Price Competition and Innovation Act of 2009 (the "BPCIA") and Section 351(k) of the Public Health Service Act. A biosimilar is not a generic drug, and the regulatory pathways for biosimilars and generics are different.

Interchangeability is an FDA designation

Whether a biosimilar is designated as "interchangeable" with its reference product is determined solely by the FDA based on data submitted in the biosimilar’s licensure application. The fact that Valorum offers, or expects to offer, a biosimilar does not mean the product is interchangeable with the reference product unless that designation appears in the FDA-approved labeling. No statement on the Site should be construed as a representation regarding interchangeability except where the FDA-approved labeling expressly so provides.

Pharmacy-level substitution is governed by state law

Substitution of a biosimilar for its reference product at the pharmacy level is governed by the laws and regulations of the state in which the prescription is dispensed. Substitution rules vary by state and are subject to change. Nothing on the Site is intended as legal advice regarding state substitution requirements, nor as a directive to any pharmacist, prescriber, payer, or patient regarding substitution. Healthcare professionals and pharmacists should consult applicable state law and their own institutional policies.

Comparative information is limited to FDA-approved labeling

Any statement on the Site comparing a Valorum biosimilar to its reference product — including statements regarding safety, efficacy, immunogenicity, indications, dosing, or pharmacokinetics — is limited to comparisons supported by the biosimilar’s FDA-approved labeling and the underlying licensure data accepted by the FDA. The Site is not a substitute for the full FDA-approved Prescribing Information for any product.

Nonproprietary names

Consistent with FDA guidance, biosimilars carry a nonproprietary (generic) name composed of a core name plus a four-letter, FDA-designated suffix. Where Valorum refers to a biosimilar by its nonproprietary name on the Site, the suffix is part of that name. Brand (proprietary) names belong to their owners and are used solely as identifiers.

Patient support, co-pay, and access programs

Valorum may make available — directly or through authorized partners — patient support services, co-pay assistance, reimbursement support, nursing support, or other access programs relating to a Valorum biosimilar (collectively, "Patient Support Programs"). Eligibility for any Patient Support Program is governed by separate program-specific terms and conditions, eligibility criteria, and privacy notices, and may be limited by federal and state law (including, without limitation, restrictions applicable to patients enrolled in federal or state healthcare programs such as Medicare, Medicaid, TRICARE, the VA, or DoD). Information about a Patient Support Program on the Site is for general informational purposes only and does not constitute an offer of benefits to any individual.

06 Reference products & third-party trademarks

Biosimilar information necessarily refers to the corresponding reference product. The Site may mention reference products and other third-party pharmaceutical products by their brand (proprietary) names, nonproprietary names, or both.

All reference-product brand names, logos, and other third-party trademarks appearing on the Site are the property of their respective owners. Valorum’s use of such marks is solely nominative — used to identify the reference product or third-party product accurately for informational, comparative, or regulatory purposes — and does not indicate any affiliation with, sponsorship by, endorsement by, or other association with the owner of those marks. The owners of reference-product trademarks are not affiliated with Valorum and do not endorse Valorum’s products.

07 Intellectual property

All content on the Site — including text, graphics, logos, icons, images, video, audio, data compilations, software, and the selection and arrangement thereof (collectively, the "Content") — is the property of Valorum or its licensors and is protected by U.S. and international copyright, trademark, trade dress, patent, and other intellectual property laws.

The VALORUM name, the Valorum logo, and any product names, brand marks, and slogans displayed on the Site are trademarks, service marks, or trade names of Valorum or its affiliates and licensors. You may not use any of these marks without our prior written permission. All other trademarks not owned by Valorum that appear on the Site — including the names of reference products and other third-party pharmaceutical products — are the property of their respective owners (see Section 6).

Limited license

Subject to your compliance with these Terms, Valorum grants you a personal, limited, non-exclusive, non-transferable, revocable license to access and view the Site for your individual, non-commercial use. This license does not include any right to:

  • resell, redistribute, or commercially exploit any portion of the Site or its Content;
  • frame, mirror, scrape, or systematically extract data from the Site;
  • use any data mining, robots, or similar data-gathering tools; or
  • use the Content to train any machine-learning or artificial-intelligence model without our prior written consent.

08 Permitted & prohibited uses

You agree to access and use the Site only for lawful purposes and in a manner consistent with these Terms. You will not:

  • use the Site in any way that violates any applicable federal, state, local, or international law or regulation, including U.S. healthcare and pharmaceutical laws and regulations;
  • impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • upload, post, or transmit any material that contains viruses, malware, trojan horses, or other harmful code;
  • interfere with, disrupt, or attempt to gain unauthorized access to the Site, our servers, or any related systems or networks;
  • attempt to probe, scan, or test the vulnerability of any Valorum system; or
  • use the Site to send any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation.

09 User submissions & feedback

If you choose to submit comments, questions, suggestions, ideas, or other information to Valorum through the Site (collectively, "Submissions"), you grant Valorum a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Submissions for any lawful business purpose, without obligation of compensation or attribution to you. You represent and warrant that you have all rights necessary to grant this license and that your Submission does not violate any law or third-party right.

Please do not submit any information that you consider confidential or proprietary. Valorum is not obligated to maintain the confidentiality of any Submission.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, VALORUM’S AGGREGATE LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW AND IN ANY EVENT SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

15 Indemnification

You agree to defend, indemnify, and hold harmless Valorum, its affiliates, and their respective directors, officers, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (i) your use of, or access to, the Site; (ii) your violation of these Terms; (iii) your violation of any third-party right, including any intellectual property or privacy right; or (iv) any Submission you make to the Site.

16 Privacy

Your use of the Site is also governed by our Privacy Statement, which explains how we collect, use, and disclose information about you. By using the Site, you consent to the practices described in the Privacy Statement.

17 Governing law & venue

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles. Subject to Section 18, you agree that any action arising out of these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction and venue of such courts.

18 Dispute resolution

The parties shall use good-faith efforts to resolve any dispute arising out of or related to these Terms through informal negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, either party may pursue available legal remedies in accordance with Section 17. You and Valorum agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action.

19 Changes to these Terms

Valorum reserves the right, at its sole discretion, to modify or replace these Terms at any time. The most current version will always be posted on the Site, with the "Last updated" date noted at the top. Material changes may also be communicated by other reasonable means. Your continued use of the Site after the effective date of revised Terms constitutes your acceptance of the revised Terms.
